Promissory Note Format Friendly Loan India

We have all experienced that dreaded, awkward phone call. A close friend, a favorite cousin, or a trusted colleague is in a severe financial emergency and desperately needs Rs. 2 Lakhs. You have the money sitting in your savings account, and you want to help.

They promise, "Bhai, I will return it in exactly three months, I swear."

You transfer the funds. Three months pass. Then six. Every time you ask for your money back, the relationship sours. You are made to feel guilty for demanding your own hard-earned money. If they eventually flat-out refuse to pay, what legal proof do you have? A WhatsApp chat screenshot? A bank statement showing a transfer with no context?

In Indian civil courts, a simple bank statement only proves that money left your account; it does not prove it was a loan meant to be repaid. The borrower can simply tell the judge, "He owed me this money from a previous business deal," or "It was a gift."

To protect your money without ruining the relationship with a 10-page heavy legal contract, you need the smartest, most effective tool in Indian financial law: The Promissory Note (Pronote).

In this highly practical guide, we will explore exactly what a Promissory Note is under the Negotiable Instruments Act, 1881, reveal the hidden Income Tax cash trap that ruins lenders, explain the strict rules of Revenue Stamps, and provide two free, legally binding Promissory Note templates that you can use immediately.

What is a Promissory Note (Pronote)?

Governed by Section 4 of the Negotiable Instruments Act, 1881, a Promissory Note is a written, unconditional promise made by one person (the Borrower/Maker) to pay a specific sum of money to another person (the Lender/Payee), either on demand or at a specific future date.

Unlike a formal Loan Agreement (which requires signatures from both parties and outlines massive terms and conditions), a Promissory Note is a one-sided document. Only the borrower signs it. It essentially says: "I unconditionally promise to pay you back."

Promissory Note vs. Loan Agreement

  • Speed: A Pronote can be drafted and signed in 2 minutes on a plain piece of paper.
  • Simplicity: It does not require complex legal jargon, heavy stamp duty (like a mortgage), or a notary public.
  • Legal Power: Under Order 37 of the Civil Procedure Code (CPC), a Pronote allows you to file a "Summary Suit." This is a fast-track court procedure where the judge presumes the debt is valid, giving the borrower very little room to make excuses.

The "Revenue Stamp" Rule: Do Not Make This Fatal Mistake!

You can write a Promissory Note on a plain white A4 paper. You do not strictly need a non-judicial e-stamp paper (though you can use one if you prefer).

However, there is one absolute, non-negotiable requirement for a Promissory Note to be legally valid in India: It MUST have a Revenue Stamp affixed to it, and it MUST be cancelled by a signature.

  1. What is a Revenue Stamp? It is a small, postage-like stamp (usually Re. 1 or Rs. 2) available at local post offices or court vendors.
  2. The "Crossing" Signature: The borrower must sign their name across the Revenue Stamp. Half the signature should be on the plain paper, and half should run over the stamp itself. This is called "cancelling" the stamp.
  3. The Legal Consequence: If you write a perfect Promissory Note but forget to affix the Revenue Stamp, or if the borrower signs next to the stamp instead of across it, the document is legally VOID. The court will not admit it as evidence.

The Income Tax Trap: Section 269SS (The Rs. 20,000 Cash Limit)

Many people lend Rs. 2 Lakhs or Rs. 5 Lakhs in hard cash to friends to avoid paper trails. If you do this and take a Promissory Note, you are walking into an Income Tax nightmare.

Under Section 269SS of the Income Tax Act, 1961, it is completely illegal to accept or give a cash loan exceeding Rs. 20,000.

  • If you lend Rs. 50,000 in cash, and the borrower later refuses to pay, you cannot easily show that Promissory Note in court. The moment you show it, the Income Tax Department can levy a 100% penalty on you for violating the cash transaction limits.
  • The Golden Rule: Always, always transfer any loan amount above Rs. 20,000 via NEFT, RTGS, IMPS, or an Account Payee Cheque. Mention the UTR/Cheque number explicitly inside the Promissory Note.

Template 1: Promissory Note "Payable On Demand"

How Long is a Promissory Note Valid? (The Limitation Act)

A Promissory Note does not last forever. Under the Limitation Act, 1963, a Promissory Note is legally valid for exactly 3 Years.

  • For "On Demand" Pronotes: The 3-year clock starts ticking from the exact date the Pronote was signed.
  • For "Fixed Date" Pronotes: The 3-year clock starts ticking from the date the repayment was due (the deadline).

If three years pass and the borrower hasn't paid, the document becomes "time-barred," meaning civil courts will no longer help you recover the money. Fixing this: If the 3-year deadline is approaching, make the borrower sign a separate "Acknowledgement of Debt" document. This resets the 3-year clock back to zero!

Conclusion

Mixing money and personal relationships is always a delicate matter. However, lending money purely on verbal trust is a disservice to your own financial security. A Promissory Note is the perfect middle ground—it is un-intimidating enough to ask a friend to sign, yet legally devastating if they choose to betray your trust. By ensuring the transaction is made via a bank transfer, affixing a valid Revenue Stamp, and executing the templates provided above, you guarantee that your generosity today does not become your financial nightmare tomorrow.

Earning systematic interest by lending money regularly requires a Moneylender's License in most Indian states. An unlicensed individual should only issue Pronotes for occasional friendly or personal loans. For severe financial defaults, consult a practicing civil advocate.
